1. Eligibility: The PowerSkin Video Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who have Internet access and access to the competition. Employees of XPAL Power and Tennrich International, and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. Void where prohibited.

3. Agreement to Official Rules: Participation in this Contest constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.
4. Contest Time Frame: The PowerSkin Video Contest begins accepting submissions at 8:00 am on Monday, February 13, 2012. The last video submission must be made by 5:00pm EST on Wednesday, February 25, 2012.
5. Contest Entrance Procedures
a. Video Format Requirements: Videos must be no longer than 90 seconds in length and will be accepted in the following file formats: flv, wmv, avi, mpg, mp4, m4v.
b. Video Submissions: A maximum of 2 videos per entrant will be accepted.
c. Upload Procedure: Videos must be uploaded utilizing the PowerSkin Video Contest upload mechanism. Your full and complete submission must include your video, and a title for your video. All videos will be reviewed for appropriate content before they are posted online
d. There must be a minimum of 10 video submissions from different entrants for the contest to continue.
6. Public Voting Phase for Finalists: The public will have an opportunity to vote via the PowerSkin website for the Top Three finalists. The videos that receive the most votes will be selected as finalists.
7. PowerSkin Judging Panel: A panel of PowerSkin judges will, at their sole discretion, select a grand prize winner. Videos will be judged on the following criteria: film making/shot design, the video’s PowerSkin theme creativity/inventiveness, and ability to convey your own unique vision.
8. Prize: Prize will be awarded as follows: The grand-prize winner receives a $500.00 Visa Gift Card. Note that the grand-prize winner will receive the grand prize only
9. Prize values, rules, taxes: List prices are subject to price fluctuations, based on, among other things, any gap in time between the date the list price is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed. Prizes are non-transferable and no substitution or cash redemption will be permitted unless Sponsor, in its sole discretion, determines otherwise. Sponsor reserves the right to substitute a prize with one of greater or equal value, in its sole discretion. Winners are responsible for all federal, state and local taxes and any other costs, expenses or fees associated with prize acceptance and/or use not specified herein as being provided.
10. Prize Limits: There is only One (1) grand prize winner. The grand prize winner can only win the actual grand prize. If a contestant enters multiple videos (up to 2), he/she can win only one prize – which is the grand prize. All prize details are at Sponsor’s sole discretion.
11. Announcement of Winners: The grand prize winner will be announced on the PowerSkin website and PowerSkin Facebook.
12. Content Restrictions:
a. The Submission must not contain material that misappropriates, violates or infringes a third party’s rights, including but not limited to privacy, publicity, copyright, trademark, patent, proprietary and/or intellectual property rights
b. The Submission must not disparage Sponsor, Sponsor’s products, Administrator or any other person or party affiliated with the promotion and administration of this Contest
c. The Submission must not contain brand names or trademark
d. The Submission must not contain footage, images, music or artwork not created by entrant
e. The Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libellous
f. The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age
g. The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any State
13. For All Submissions: Limit: Entrant must be the sole creator and owner of and possess all rights in and to the Submission, have secured written, royalty and payment-free rights of property, privacy, publicity, model, talent, site and/or other releases, waivers, permissions and/or licenses to use all names, locations and likenesses in the Submission and to grant the rights set forth herein from all persons, images and property, if any, appearing in the Submission (collectively, the “Permissions”), and deliver such Permissions in a form acceptable to Sponsor upon its request, or such Submission will be disqualified. Uploading a Submission constitutes entrant’s agreement and consent, and grant to PowerSkin, XPAL, Tennrich and its affiliates, licensees, successors and assigns, of a royalty-free, fully paid-up, irrevocable, perpetual, non-exclusive right and license to use, reproduce, modify, publish, distribute, copy, edit, create derivative works from, and display the entrant’s name, city, state, likeness, photo and Submission(s) in whole or in part, on a worldwide basis, and to incorporate them with and/or into other works, in any form, media or technology now known or later developed including, without limitation, the Internet, for purposes of and/or in any way in connection with the Contest, including without limitation for promotional, advertising and/or marketing purposes, without further compensation, notification, permission or other consideration, except where prohibited by law.
14. Winner Requirements: The grand prize winner will be announced the PowerSkin website. The winner will also be notified by email, mail or phone on or around these days. If the Grand Prize winner is disqualified for any reason, cannot be verified or is unable to accept the prize, PowerSkin will choose an alternate winner at their sole discretion. Acceptance of any prize shall constitute and signify winner’s agreement and consent, and grant to Sponsor and its affiliates, licensees, successors and assigns, of a royalty-free, fully paid-up, irrevocable, perpetual, non-exclusive right and license to use the winner’s name, city, state, likeness, photo, and/or prize information for purposes of and/or in any way in connection with the Contest for promotional, advertising, marketing or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. Prizes will be fulfilled within 4 weeks after end of contest and announcement of Grand Prize Winner.
15. Release: By participating, entrant agrees to release and hold harmless the Sponsor: Tennrich International and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees, licensees, agents, successors and assigns (collectively, the “Released Parties”) from and against any claim or cause of action, losses, liabilities, costs and expenses, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.
16. General Conditions: PowerSkin reserves the right to cancel this contest for any reason and at any time without notice. PowerSkin also reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the Contest, as determined by PowerSkin in its sole discretion. If terminated, PowerSkin may, in its sole discretion, determine winners from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure and/or the scoring procedure outlined above.
17. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions or views and ratings or the tabulating of views and ratings, the announcement of the prizes or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of, or damages to, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof.
